Learn about the terms and conditions of using the Libra Monorepo storage service (collectively, the “Services”).

BY ACCESSING OR USING THE SERVICE, YOU AGREE TO BE BOUND BY THESE TERMS OF SERVICE. IF YOU ARE ENTERING INTO THESE TERMS ON BEHALF OF A COMPANY OR OTHER LEGAL ENTITY, YOU REPRESENT THAT YOU HAVE THE AUTHORITY TO BIND SUCH ENTITY.

These Terms of Service (the “Terms”) are a legally binding agreement between you or the entity you represent (“Customer”, “you”, “your”) and GitMono Limited (“GitMono”, “we”, “us”, “our”), a company registered in Hong Kong with registered. These Terms govern your access to and use of our website at https://libra.tools (including the English version at /en) and the Libra Monorepo storage service, including the Libra client, API, hosted repositories, storage tiers, and any related tools, SDKs, or features (collectively, the “Service”).

If you do not agree to these Terms, you must not access or use the Service.

1. Service Overview

The Service provides a secure, scalable Monorepo warehouse storage solution based on the Libra client (open-source at https://github.com/libra-tools/libra). It enables programmatic management of Git repositories, branches, commits, merges, warm/cold storage, and high-speed operations for developers and AI-driven platforms.

2. Eligibility

You must be at least 18 years old or the age of majority in your jurisdiction. By using the Service, you represent that you meet these requirements and that your use complies with all applicable laws.

3. Accounts and Registration

You may need to create an account to access certain features. You agree to provide accurate, complete information and keep it updated. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. Notify us immediately at [email protected] if you suspect unauthorized access.

4. Access Grant and Restrictions

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Service for your internal business purposes during the subscription term.

You agree not to:

  • Reverse engineer, decompile, disassemble, or attempt to discover the source code of the Service;
  • Modify, create derivative works, or use the Service for service bureau or third-party benefit;
  • Remove any proprietary notices;
  • Use the Service in violation of applicable laws.

You are responsible for obtaining and maintaining all necessary equipment and ancillary services to access the Service.

5. Customer Data and License

You retain ownership of any data, repositories, or content you upload (“Customer Data”). You grant us a non-exclusive, royalty-free license to use, copy, and process Customer Data solely to provide and improve the Service. If Customer Data contains personal data, our Data Processing Addendum (available upon request) applies.

6. Feedback License

You may provide suggestions, comments, or feedback (“Feedback”) regarding the Service. You grant us a royalty-free, perpetual, irrevocable, worldwide license to use, modify, and incorporate such Feedback into the Service without restriction or obligation to you.

7. Confidentiality

“Confidential Information” means non-public information disclosed by one party to the other that is designated as confidential or reasonably should be understood as confidential. Each party agrees to use Confidential Information only for the purposes of these Terms and to protect it with at least the same degree of care as its own confidential information (but no less than reasonable care). This obligation survives termination for 3 years. Exceptions include information that is publicly known, independently developed, or required to be disclosed by law.

8. Payment and Subscription

Certain features require payment. Fees are listed on our pricing page (or in any Order Form). All fees are in USD (or as specified), non-refundable except as required by law. We use third-party processors (e.g., Stripe); their terms apply. Subscriptions auto-renew unless cancelled before the renewal date. We may suspend access for delinquent accounts.

9. SLA and Support

We offer a Service Level Agreement (SLA) guaranteeing uptime. Details are available at [SLA link to be added]. Support is provided via our documentation and [email protected].

10. Indemnification

Mutual Indemnification

  • You agree to indemnify, defend, and hold harmless GitMono, its officers, directors, employees, and agents from any claims, losses, liabilities, damages, costs (including reasonable legal fees) arising from: (i) your Customer Data; (ii) your breach of these Terms; or (iii) your violation of applicable laws.
  • We agree to indemnify, defend, and hold harmless you from any third-party claims that the Service (as provided) infringes a third party's intellectual property rights, provided you promptly notify us in writing, give us sole control of the defense/settlement, and cooperate fully. We may, at our option: procure the right to continue use, replace/modify the Service, or terminate and refund prepaid fees prorated. This indemnity does not apply to modifications you make or claims arising from your combination with third-party materials.

11. Third-Party Services

The Service may integrate with or link to third-party services. We are not responsible for such services, their availability, or any loss arising from their use. Your dealings with third parties are solely between you and them.

12. Termination

We may terminate or suspend your access for breach of these Terms. Upon termination, you must cease use and we may delete your data after a reasonable retention period.

13. Disclaimers and Limitation of Liability

THE SERVICE IS PROVIDED “AS IS”. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM. IN NO EVENT SHALL WE BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY.

14. Force Majeure

Neither party shall be liable for any delay or failure to perform (except payment obligations) caused by events beyond its reasonable control, including acts of God, war, terrorism, riots, embargoes, acts of government, fires, floods, strikes, or Internet/telecom failures (“Force Majeure”). If a Force Majeure event continues for more than 30 days, either party may terminate these Terms upon written notice.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Hong Kong Special Administrative Region, without regard to conflict of laws principles. Any disputes shall be resolved exclusively in the courts of Hong Kong.

16. Changes to Terms

We may update these Terms. Material changes will be notified via the Service or email. Continued use constitutes acceptance.
